VDR Tech provides a comprehensive Governance, Risk, and Compliance (GRC) platform known as Complify, which includes:

• Enterprise Risk Management (ERM)
• Security Testing and SAST (Static Application Security Testing)
• Third-Party Risk Management (TPRM)
• Compliance framework management
• Audit management and policy management tools
• Related security and compliance services

3. User Accounts and Registration

To access certain features of our Services, you must register for an account:

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• You must be authorized to bind your organization to these Terms

You agree to indemnify, defend, and hold harmless VDR Tech and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of our Services, violation of these Terms, or infringement of any rights of another party.

11. Termination

Either party may terminate these Terms:

• You may cancel your subscription at any time through your account settings
• We may suspend or terminate your account for violation of these Terms
• We may terminate your account with notice for any reason
• Upon termination, your right to use the Services will immediately cease
• We will provide access to Customer Data for a reasonable period after termination

12. Dispute Resolution

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Texas, United States. You waive any right to participate in class action lawsuits or class-wide arbitration.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
